昇兴股份：拟向广东昌胜照明增资2550万元

　　昇兴股份5月23日晚间公告称，为了顺应经济发展趋势和我国产业政策的引导方向，积极把握节能环保产业投资发展的战略机遇，基于广东昌胜照明科技有限公司拥有大功率氙气照明光源相关的发明专利，研发生产的氙气路灯照明光源具有显著的节能效果，符合国家有关节能、低碳的要求并受到国家政策的鼓励，并且广东昌胜拥有该领域的领先优势，昇兴股份拟与邓中伟等6名自然人共同对广东昌胜进行增资扩股，其中，公司拟以自有资金向广东昌胜增资25,500,000元，占增资后广东昌胜股权比例的51%。

　　公告称，广东昌胜主要从事大功率氙气照明电光源的研发、生产、销售，掌握了氙气照明电光源的核心技术并取得了多项发明专利，属于中国民族自主知识产权产品。公司本次收购广东昌胜，目的在于把握氙气照明产业快速发展的机遇及其产业日渐成熟所形成的广阔市场空间，借此进入节能环保行业，优化公司业务结构，增强公司盈利能力和抗风险能力。

　　公告还表示，本次增资扩股广东昌胜完成后，广东昌胜将成为公司的控股子公司，纳入公司合并财务报表范围，其有利于优化公司业务结构，扩大公司业务领域，实现多角经营;有利于公司创造新的利润增长点，增强公司盈利能力。
