Chapter I General Provisions
Article 1 According to the relevant provisions of the “Notice of Shenzhen Municipal People's Government on Printing and Strengthening Several Policies and Measures for Promoting Independent Innovation to Promote the Development of High-Tech Industries†(Shenzhen [2008] No. 200), in order to standardize the management of Shenzhen high-tech enterprises, Formulate these measures.
Article 2 The high-tech enterprises referred to in these Measures refer to enterprises that continuously carry out research and development and transformation of technological achievements, have independent intellectual property rights, and carry out business activities based on this.
Independent intellectual property rights refers to ownership or use of the core technology of its main products (services) through independent research and development, transfer, grant, merger, and exclusive license.
The intellectual property rights referred to in these Measures include inventions, utility models, designs that do not simply change the pattern and shape of products, software copyrights, exclusive rights to layout designs of integrated circuits, and new varieties of plants.
Article 3 Shenzhen high-tech enterprises identified in accordance with these Measures may enjoy preferential treatment such as research and development grants in accordance with the preferential policies and measures of relevant high-tech enterprises in Shenzhen.
Article 4 These Measures shall be implemented jointly by the municipal competent department of science and technology and the competent department of municipal finance.
Chapter II Determination Conditions
Article 5 A high-tech enterprise shall be an enterprise engaged in the research and development, production and sales of the following high-tech and its products or technical services. Enterprises that simply engage in the sale of goods cannot be identified as high-tech enterprises:
(1) Electronic information and software;
(2) Bioengineering, medicine and medical equipment;
(3) new materials;
(4) Opto-mechatronics and advanced manufacturing;
(5) Environmental protection;
(6) New energy and high efficiency and energy saving;
(7) Aerospace;
(8) Modern agriculture;
(9) Earth, space and ocean engineering;
(10) Nuclear applications;
(11) Using traditional technology and technological transformation to upgrade traditional industries;
(12) Providing research and development, technical consultation, technology trading, industrial design and other services for the development of high-tech industries;
(13) Relevant technical products matched with the above-mentioned fields, as well as other high-tech products and products suitable for the characteristics of Shenzhen's economic development.
Article 6 High and new technology refers to the technology that meets the requirements in Article 5 of this certification and reaches the domestic advanced level.
High-tech products refer to products belonging to the "Shenzhen High-tech Product Catalogue" and meet the following conditions:
(1) Enterprise standards that meet international standards, national standards and industry standards, or are approved by the technical supervision departments at or above the prefecture level;
(2) Qualified by the product quality inspection agency;
(3) To reach the domestic advanced level.
Article 7 The identification of a high-tech enterprise shall meet the following conditions:
(1) Registering in Shenzhen for one year (one fiscal year) or above, with independent legal personality;
(2) The ownership of intellectual property rights is clear and meets one of the following quantity requirements:
1. Invention or new plant variety more than one;
2. More than 2 utility models;
3. Designs or software copyrights or integrated circuit layouts that do not simply change the pattern and shape of the product
More than 3 exclusive rights.
(3) For the enterprises with sales income less than 50 million yuan in the most recent year, the total amount of research and development expenses in the three fiscal years shall not be less than 5% of the total sales revenue; the scientific and technical personnel with college degree or above or intermediate titles shall be in the enterprise. More than 30% of the total number of employees in the year, of which R & D personnel accounted for more than 10% of the total number of employees in the company;
In the past year, enterprises with sales income of 50 million yuan to 200 million yuan, the total amount of research and development expenses in the three fiscal years accounted for not less than 3% of the total sales revenue; the scientific and technical personnel with college degree or above or intermediate titles More than 20% of the total number of employees in the company in that year, of which R & D personnel accounted for more than 8% of the total number of employees in the company;
In the past year, enterprises with sales income of more than 200 million yuan, the total amount of research and development expenses in the three fiscal years accounted for not less than 2% of the total sales revenue; the scientific and technical personnel with college degree or above or intermediate titles accounted for the employees of the company in the current year. More than 10% of the total, of which R & D personnel accounted for more than 6% of the total number of employees in the company;
If the enterprise is registered for less than 3 years, it shall be calculated based on the actual operating period;
(4) The income of high-tech products (services) accounts for more than 60% of the total income of the enterprise in the current year;
(5) having a sound management system of production, technology and finance;
(6) having corresponding development, production conditions and product quality assurance measures;
(7) There is no major illegal activity within 3 years, and the materials submitted are true and reliable.
Chapter III Application and Accreditation Procedures
Article 8 High-tech enterprises shall be authorized to conduct three centralized declarations and examinations every year, and the application time shall be from the first working day to the tenth working day in March, June and September. The approval period is 45 working days.
Article 9 The application and determination of a high-tech enterprise shall be carried out in accordance with the following procedures:
(1) The enterprise shall fill in the “Application for Shenzhen High-tech Enterprise Certification†online;
(2) After the preliminary examination of the civic center's office window, the municipal science and technology department and the municipal finance department entrust the Shenzhen Science and Technology Expert Committee to organize experts to review the declared enterprises and put forward their opinions;
(3) The municipal competent department of science and technology and the municipal competent department of finance shall conduct a review of the enterprises that have passed the review, and the list of enterprises that will be examined and approved shall be publicly displayed on the Internet for a period of 5 working days. If there is any objection to the publicity, the relevant organizations will conduct relevant investigations and give corresponding conclusions;
(4) After the examination and approval, the municipal competent department of science and technology and the municipal competent department of finance shall issue the “Shenzhen High-tech Enterprise Certificateâ€.
Chapter IV Application Materials
Article 10 The following materials shall be provided for the application for recognition as a high-tech enterprise in Shenzhen:
(1) "Shenzhen High-tech Enterprise Certification Application";
(2) A copy of the business license (original) or a copy of the legal person registration certificate (original), a copy of the legal person institution code certificate (original) and the legal representative certificate (original);
(3) The financial audit report of the three accounting years of the enterprise audited by a qualified accounting firm and the special audit report of the high-tech enterprise (original) (the actual operating period is less than three years according to the actual operating years), and attached to the national tax and local tax departments The enterprises that have reviewed and stamped shall pay all tax schedules, and the special audit report of high-tech enterprises shall be issued by an accounting firm approved by the municipal financial department;
The special audit report shall specify the proportion of the total research and development expenses to the total sales revenue, the proportion of scientific and technical personnel with a college degree or above or a middle-level or higher title, the proportion of R&D personnel in the total number of employees in the current year, and the income from high-tech products (services) as a percentage of the total income of the enterprise in the current year. , including high-tech product sales revenue and technical income breakdown, high-tech product profit and tax details, development expenditure expenditure details (including research and development equipment purchase details, raw material purchase, component purchase, mold development fee, test and test fee, research and development personnel salary and expenses Etc., R&D personnel list and academic qualifications;
(4) Relevant certificates and product quality inspection reports on intellectual property rights;
(5) Enterprises belonging to special industries are required to provide special industry licenses or network access licenses; for high-tech products with special industry management requirements such as biomedicine, medical devices, communications, etc., they must submit the necessary regulations for production and sales in the industry. A copy of the document; an environmentally-friendly project is required to submit a certificate of environmental compliance.
Article 11 The application materials shall be booked in the order of the material catalogue, and 3 sets of written materials shall be submitted to the Civic Center of Science and Technology Information Center.
Chapter V Review
Article 12 The qualification of a high-tech enterprise shall be valid for 3 years from the date of issuance of the certificate. The enterprise shall file an application for review within 3 months before the expiration of the period. If the application for review is not submitted or the review is unqualified, the qualification of the high-tech enterprise will expire automatically.
Article 13 The following materials shall be submitted when applying for review:
(1) "Shenzhen High-tech Enterprise Certification";
(2) "Shenzhen High-tech Enterprise Annual Review Form";
(3) The annual financial audit report and the special audit report of high-tech enterprises (original) of three accounting years audited by qualified accounting firms.
Article 14 The municipal competent department of science and technology and the competent department of municipal finance shall publicize the enterprises that have passed the review in accordance with Item (3) of Article 9 of these Measures, and publicize the validity period of the “Shenzhen High-tech Enterprise Certificate†without objection. For the seal of the company, the enterprise shall go through the procedures for preferential policies with the corresponding certificates of the government and the related documents; and recover the high-tech enterprise certificate for the enterprises that cancel the qualification of high-tech enterprises.
Chapter 6 Penalties
Article 15 If a high-tech enterprise that has been identified has one of the following conditions, its qualification shall be cancelled:
(1) failing to meet the conditions for the recognition of Shenzhen high-tech enterprises;
(2) Failure to report the annual report and the "Shenzhen High-tech Enterprise Annual Review Form" on time;
(3) Providing false information in the process of applying for identification;
(4) having acts of stealing or defrauding taxes;
(5) Major safety or quality accidents occur;
(6) Having violations of laws and regulations such as the environment and intellectual property rights, and being punished by the relevant departments.
An enterprise that has been disqualified from a high-tech enterprise shall not accept the application for recognition of the enterprise within three years.
Article 16 All kinds of institutions and personnel involved in the identification of high-tech enterprises shall have the integrity and compliance obligations for the work they have undertaken, and shall have the obligation to keep confidential the relevant information and information of the enterprises that declare the enterprises. Violation of the relevant requirements and disciplines for the identification of high-tech enterprises shall be dealt with accordingly.
Chapter VII Supplementary Provisions
Article 17 The high-tech enterprises that have been identified shall submit the statistics and financial newsletters as of the previous month to the municipal competent department of science and technology online before the 10th of each month, and submit the financial statements of the previous year to the municipal competent department of science and technology in April each year. The audit report shall be submitted to the “High-tech Product Statistics Survey Form†and the relevant national statements according to the requirements of the municipal science and technology department.
If the identified high-tech enterprise changes its industrial and commercial registration, it shall promptly report the change to the municipal competent department of science and technology, and the municipal competent department of science and technology shall handle the relevant change procedures according to the change.
Article 18 These Measures shall be interpreted by the municipal competent department of science and technology and the competent department of municipal finance.
Article 19 These Measures shall be implemented as of the date of promulgation. "Shenzhen High-tech Enterprise Certification and Assessment Measures" (Shen Kexin [2007] No. 112) and "Shenzhen High-tech Enterprise Recognition Conditions" (Shen Kexin [2007] No. 152) shall be abolished at the same time. The validity period of the high-tech enterprises originally identified according to the above documents shall be extended to June 30, 2011, at which time the review shall be conducted in accordance with the conditions and procedures stipulated in these Measures.
